STATUTE OF THE ASSOCIATION OF AMAZONIAN UNIVERSITIES - UNAMAZ

CHAPTER I PART I
Of the Headquarters, Name, Purposes

Article 1 The Association of Amazonian Universities - UNAMAZ, created on September 18, 1987, in the city of Belém, capital of the State of Pará, Federative Republic of Brazil, is a non-profit association of an academic, scientific, technological and promotional nature, headquartered at Travessa Três de Maio 1573 - São Braz Zip Code: 66063-390 Belém - Pará - Brazil Telephone/Fax: (55-91) 3229-4478.

Article 2 Purpose: UNAMAZ aims to constitute itself as an international institutional association, coordinating at the regional, academic, scientific and technological levels; that formulates academic, research and extension and development policies and strategies, oriented towards human well-being, the conservation and preservation of the environment, and the sustainable management of the natural resources of the Amazon region.

Article 3 For the purposes of this Statute, the Amazon region shall be considered to be the entirety of the region, with its unique characteristics of flora, fauna, water, climate, soils, and cultures; delineated by the Amazon River basin and the humid tropical rainforest. This understanding includes the Amazonian areas that, as a whole, are known as Pan-Amazon, Continental Amazon, or equivalents.

Article 4 UNAMAZ is a multilateral cooperation organization with representation in each of the Amazonian countries.

Article 5 UNAMAZ comprises public university and research institutions of the Amazon, duly recognized by their respective countries, organized and integrated under a national Vice-Presidency, named: UNAMAZ Bolivia; UNAMAZ Brazil; UNAMAZ Colombia; UNAMAZ Ecuador; UNAMAZ Guyana; UNAMAZ Peru; UNAMAZ Suriname; UNAMAZ Venezuela.

PART II

Duration and Dissolution

Article 6. UNAMAZ has an indefinite institutional duration, and its dissolution shall be decided by the General Assembly through a vote, by a minimum decision of 2/3 (two-thirds) of its members.

Article 7. Each national UNAMAZ is composed of public, academic, and scientific research institutions that are members of the association.

Article 8. In the event of the association's dissolution, its net assets, if any, after deducting, if applicable, the quotas or ideal fractions referred to in the relevant civil legislation, shall be allocated, according to the determination of an absolute majority of the General Assembly, to a Municipal, State, or Federal Institution, provided that it has identical or similar purposes to the dissolved association.

SOLE PARAGRAPH: If no institution exists in the Municipality, State, Federal District, or Territory where the association is headquartered, under the conditions indicated in this article, the remaining assets shall revert to the Treasury of the State, the Federal District, or the Union.

Article 9. UNAMAZ acquires international legal personality, with legal representation at the Pan-Amazonian level and locally in each of the Amazonian countries, as the UNAMAZ National representation; directed by a Vice-Presidency, which operates under the legal terms provided for in these Bylaws and subject to the laws of each country, using the acronym UNAMAZ followed by the name of the respective country for its designations.

PART III
Of Assets and Economic Resources

Article 10. Assets and Economic Resources:

I. The assets of UNAMAZ consist of:
a) initial endowment;
b) its acquired or to-be-acquired assets and values;
c) its rights, actions, and obligations;

d) its patents and intellectual property registrations;
e) its ordinary and extraordinary income;
f) subsidies, contributions, legacies, aid, donations and other acquisitions provided by individuals or legal entities of any nature;
g) its research and production units;
h) membership fees paid by associates.

II. The Economic Resources of UNAMAZ consist of:
a) members' quota: each member entity will compulsorily contribute the quota fixed by the Governing Council, payable by December 31 of each year;
b) donations: UNAMAZ, through its Councils and National Representations, duly authorized by the Presidency of the Governing Council, will administer donations from promoting organizations to carry out certain works;
c) own income: when possible and pertinent, administration fees and other forms of financing consigned in the General Internal Regulations, which will form part of the basic budget, will be considered;
d) resources from contracts for the execution of institutional cooperation projects in higher education, science, technology and information in the Amazon, whose technical and financial administration may be carried out through the Presidency, the Permanent Executive Secretariat and others responsible for the projects as coordinators and/or authorizing officers.
e) other sources.

Article 11 Of the amounts collected by quotas from each country, 50% (fifty percent) will be transferred to the headquarters of the Permanent Executive Secretariat. The remaining 50% (fifty percent) will be retained by the national Vice-Presidencies.

Article 12. The Governing Council shall decide on the advisability of accepting donations with encumbrances.

Article 13. The real estate assets of UNAMAZ, if any, may only be encumbered, under any title, or even alienated, with the authorization of the Governing Council, in accordance with the resource allocation plan previously prepared and duly approved by the General Assembly.

SOLE PARAGRAPH: Failure to comply with the provisions of the "caput" of this article will result in the nullity of the act, to the extent permitted, and those responsible will be subject to the penalties provided for by law.

Article 14. The assets of UNAMAZ may, under no circumstances, be used for purposes other than those established in this chapter.

Article 15. UNAMAZ must promote the application of its assets according to a legal scheme that takes into account the security of investments and the maintenance of the real value of invested capital.

SOLE PARAGRAPH: The asset application plan must be prepared by the Governing Council annually, or whenever supervening reasons advise it, observing the criteria set forth in the "caput" of this article.

 

CHAPTER II
PART I
Of the Members

Article 16. The members of UNAMAZ are public institutions of higher education and research, with their main headquarters in the Amazon region, and which are accepted as considered by this Statute. Institutions registered prior to the approval of this Statute are also considered member institutions, as are those that signed the Articles of Incorporation and have not lost that status as founding members.

Paragraph 1 – Existing Collaborating Members maintain this status in accordance with the provisions of the 1997 Statute.

Paragraph 2 – Collaborating Members are considered to be those that permanently develop activities in Education, Science, Technology and Innovation in the Amazon region, with objectives common to those of UNAMAZ, and accepted as members, as considered by this Statute. Such organizations are non-full members, with the right to speak but not to vote.

PART II
Rights and Duties

Article 17. The rights of member institutions are:

a) to participate in UNAMAZ initiatives, events, and other activities;

b) to request assistance and support from UNAMAZ in matters within their competence;

c) to present candidates for leadership positions at UNAMAZ, in accordance with their membership category;

d) to participate in research, training, and other projects promoted by UNAMAZ;

e) to access information and documentation available at UNAMAZ;

f) to participate in the General Assembly;

g) to submit proposals to the Governing Council within the scope of institutional objectives;

h) to monitor, collect, and obtain timely information from the Governing Council and the Executive Secretariat;

i) to present candidates for scholarships and postgraduate programs, exchange programs, student and faculty movements offered or channeled by UNAMAZ institutions through the Executive Secretariat.

Article 18. The obligations of member institutions are:

a) to respect and enforce the Statute and the rules issued by the Governing Council and the Presidency;

b) to attend meetings convened by the Presidency, Vice-Presidencies, and the Governing Council;

c) to fulfill their annual contributions as set by the Governing Council;

d) to incorporate into their institutions' Annual Operational Plan programs, projects, and other activities related to the fulfillment of UNAMAZ's mission, purposes, and objectives;

e) to safeguard the prestige and integrity of the institution;

f) to disseminate the agreements and achievements within the scope of action of each member organization.

PART III
Requirements for Dismissal and Exclusion

Article 19. Members who commit acts identical or analogous to those described below will be excluded upon evaluation by the Governing Council:

a) request from their legal representative;

b) the legal entity of the member institution has ceased to exist, in accordance with the laws of the respective country;

c) non-compliance with these Bylaws;

d) failure to pay annual dues for a period exceeding two years;

e) extinction of the institution;

f) special cases, duly justified and established in the general internal regulations, may be suspended from the exercise of their rights.

SOLE PARAGRAPH: For the conduct referred to in items “c”, “d”, and “f”, except in cases of recidivism or recalcitrant negligence, one of the following punishments may be applied, according to a resolution of at least 2/3 (two-thirds) of the General Assembly:

a) warning;

b) censure;

c) suspension. Article 20. An appeal may always be made to the General Assembly against the decision of the body that, in accordance with the Statute, decrees the exclusion of a member.

Article 21. In addition to the provisions set forth in this UNAMAZ statute concerning the procedure for the resignation of its members, any member has the right to resign from the association without prior justification, by means of a request, hereinafter defined as "NOTICE OF RESIGNATION," sent to the Board of Directors at least 60 (sixty) days in advance.

Sole paragraph: After receiving the aforementioned "Notice of Resignation," the request will be approved immediately, without the need to convene the Board of Directors or the General Assembly.

CHAPTER III
The Government and Advisory Bodies of UNAMAZ:

Organizational Structure and Functions of the General Assembly, the Governing Council, the Presidency, the Advisory Council, the Supervisory Council, and the National Vice-Presidencies

PART I
The Government of UNAMAZ

Article 22 The Government of UNAMAZ is composed of:
a) the General Assembly

b) the Governing Council

c) the Presidency

d) the National Vice-Presidencies

Article 23 The advisory bodies of UNAMAZ are:
a) the Advisory Council

b) the Supervisory Council

SOLE PARAGRAPH: Neither the positions on the Board of Directors nor those in the other advisory bodies will be subject to remuneration.

Article 24 The General Assembly. It is the highest governing body of UNAMAZ, composed of one representative from each of the member institutions, to deliberate on the following:

a) deciding on the scope of the Association and allocating its physical and financial assets and liabilities;

b) deciding on consultations on political-administrative matters, requested as an appeal to the higher instance by the President of the Governing Council;

c) deciding on the location of the Headquarters of the Permanent Executive Secretariat;

d) electing the members of the Governing Council;

e) removing members of the Governing Council;

f) ratifying the admission of members, made by the Governing Council;

g) approving the exclusion of members from the entity;

h) approving or amending the statutes;

i) reviewing the report of the Executive Secretariat and deciding on the approval of the accounts.

SOLE PARAGRAPH - For the powers provided for in items “e” and “h”, a resolution of the General Assembly is required, specially convened for this purpose, and it may not deliberate, in the first convocation, without 2/3 (two-thirds) of its members, or with less than 1/3 (one-third) of members in subsequent convocations.

PART II
Of the General Assembly

Article 25 The General Assembly meets ordinarily every 2 (two) years and extraordinarily, whenever convened, by the President, by the Board of Directors with the support of three Vice-Presidents, or by 1/5 (one-fifth) of the members who are in full enjoyment of their rights.

SOLE PARAGRAPH: The General Assembly, which will be convened in the manner established by the Internal Regulations, is composed of all UNAMAZ members who are in full enjoyment of their rights. Article 26. The General Assembly shall meet extraordinarily upon convocation by the President of the Governing Council, with the support of three of its members or at the request of at least three national Vice-Presidents, with a minimum notice of one month. It shall be constituted at the first convocation with the participation of members from at least five countries.

§1. The General Assembly of UNAMAZ shall be presided over by the President of the Governing Council and, if the President is legally, morally, ethically or physically prevented from attending, by the national Vice-President who is a member of the Governing Council, in order of precedence established in the general internal regulations.

§2. The agreements and resolutions of the General Assembly shall be approved respecting the proportion of one vote per country. The procedure is defined by specific regulations of the Board of Directors, when there are interests of the association that require the pronouncement of the members and for the purposes provided for by law, as well as in the following cases:

I - to approve a proposal for total or partial reform of the bylaws, requiring the concurring vote of two-thirds of those present at the Assembly specially convened for this purpose, which may not deliberate, in the first convocation, without an absolute majority of the members, or with less than one-third in subsequent convocations;

II - election of members of the Board of Directors, due to the resignation of those in office;

III - removal of administrators;

IV - exclusion of members;

V - to deliberate on the dissolution of the Association;

VI - to consider, in the last instance, all appeals that may be filed against acts of the Board of Directors;

VII - to suspend or revoke the mandate of members of the Board of Directors, provided that such a decision is reached through the vote of 2/3 (two-thirds) of those present.

Article 27. The General Assembly shall be convened by means of a prior and general announcement, by means of a notice posted at the entity's headquarters, by circulars, electronically, or by other appropriate means, with a minimum notice of 15 (fifteen) days, with 2/3 (two-thirds) of the members being guaranteed the right to convene it. In these Statutes, the terms "mail," "direct mail," and "voting by mail" shall also be understood to include the use of electronic mail (email) and the internet, in order to reduce expenses and increase the number of responses received.

SOLE PARAGRAPH - The Assembly shall be constituted in first call with an absolute majority of the members and, in second call, after thirty minutes, with any number, provided that there is the presence of members from at least five countries, and the resolutions shall be taken by a simple majority of the members present, except for exceptions provided for in these Statutes.

PART III
Of the Vice-Presidencies and the Governing Council

Article 28. Powers of the Vice-Presidents. The Vice-Presidents are responsible for:

a) exercising the National representation of UNAMAZ before their respective country;

b) exercising the National representation before the General Assembly and the Governing Council of UNAMAZ;

c) channeling and ensuring the articulation of the member institutions of their respective countries with the Governing Council;

d) organizing and maintaining a National Secretariat in their country of origin, according to the Internal Regulations;

e) developing operating rules for the National Representations within the framework of these Statutes and Internal Regulations;

f) exercising the powers conferred upon them by the President and the Governing Council;

g) exercising the other powers inherent to the position or those delegated to them.

Article 29. When a Vice-President is elected as President, the alternate Vice-President will assume the national Vice-Presidency.

Article 30 The Governing Council is a superior executive-deliberative body and will be composed of all national Vice-Presidencies. The Executive Secretary is an "ad-hoc" member of the Council, with the right to speak but without a vote.

Article 31 The Governing Council will meet ordinarily once every six months. In the first semester, the purpose is to approve the minutes, projects, and programs executed by the Permanent Executive Secretariat of UNAMAZ. The second meeting, in the second semester, will be for the purpose of approving the programs, projects, and operational plan for the following year, among other things, in accordance with the policies of the strategic plan implemented by the Permanent Executive Secretariat. The following also constitute relevant material for approval and recommendation by the Governing Council:

a) electing the President;

b) approving the proposal for admission and disaffiliation of member institutions;

c) determining the annual quotas and other financial contributions of the member institutions;

d) approving the rules and requirements for candidates for the position of Executive Secretary;

e) to propose, with justification, the names of individuals and institutions as candidates to be awarded honorary titles, in accordance with the special regulations;

f) to prepare and approve its Internal Operating Regulations;

g) to approve recommendations from the Advisory Council and the Supervisory Council, determining the implementation of control measures;

h) to appoint and dismiss the Executive Secretary;

i) to designate the headquarters of the Permanent Executive Secretariat;

j) to define mechanisms for controlling and evaluating the economic and technical management of the Permanent Executive Secretariat;

k) to approve the strategic plan.

Article 32 The Governing Council may meet in extraordinary session upon convocation by the President or at the request of a minimum of 3 (three) of its members, in person or through virtual media.

Article 33 When, for any reason, the President of the Governing Council definitively loses his/her position as Rector, the Council must elect a President to complete the term.

PART IV
Of the Presidency

Article 34 The President of the Governing Council is elected from among the members of the Governing Council every 2 (two) years, according to specific regulations of the Council, and may be re-elected for the following term. His/her functions are:

a) to comply with and enforce the statute;

b) to be responsible for the management and implementation of the strategic plan, for the activities carried out by the Permanent Executive Secretariat and other activities approved by the competent bodies of UNAMAZ;

c) to legally represent UNAMAZ;

d) to appoint the Executive Secretary designated by the Board of Directors;

e) to convene and preside over the General Assembly and the meetings of the Board of Directors;

f) other duties assigned by the Board of Directors and the corresponding regulations;

g) to direct and supervise all activities of the association, and for this purpose, to hire and dismiss employees, governed by the Consolidation of Labor Laws, as well as to contract occasional services without an employment relationship, when applicable.

Article 35. The President shall represent the association actively and passively, judicially and extrajudicially, including for the movement of bank accounts, using a corporate credit card, and even authorizing such use to the Executive Secretary, with the use of the association's name for any purpose unrelated to its objectives, such as guarantees, endorsements, or any other acts of favor, being expressly prohibited.

PART V
Of the Advisory Council

Article 36. The Advisory Council is part of the organizational structure of UNAMAZ and has an advisory character. It meets once in the second half of the year to analyze and give its opinion on the operational plan and extraordinarily for other topics of interest to the Amazon region.

Article 37. The Advisory Council is chaired by one of its members, who is not from UNAMAZ, elected by its members, with a two-year term, who will be obliged to inform the Board of Directors of the decisions or consensuses of the Advisory Council.

Article 38. The permanent members of the Advisory Council are: the President of the Governing Council and the Executive Secretary of UNAMAZ. Invited members may include: one of the former Presidents of UNAMAZ, a representative of the Amazonian University Students Association, the representative of the Amazon Cooperation Treaty, the representative of the Amazon Initiative Consortium, and a representative of a Financial Agency. Additional guests may also be included. The Permanent Executive Secretariat, in coordination with the President of the Governing Council, will be consulted on the topics to be discussed.

Article 39. The President of the Governing Council and the Executive Secretary of UNAMAZ are permanent members of the Advisory Council, with the right to speak but without the right to vote. The Executive Secretariat of UNAMAZ acts as the "ad-hoc" Secretariat of the Advisory Council.

Article 40. The Advisory Council coordinates with the Governing Council, the Executive Secretariat, and the national Vice-Presidencies, in accordance with its regulations.

Article 41. The Supervisory Board is chaired by one of its members, elected by its peers, who will be three: one national Vice-President; another, a member of the Advisory Board; and a third from the community external to UNAMAZ, designated by the Governing Board, and they meet at least once a year.

Article 42. The Supervisory Board's purpose is to oversee the economic activity of UNAMAZ, aimed at institutional projects and programs, and the maintenance and operation of the Permanent Executive Secretariat. The recommendations and conclusions of the Supervisory Board will be submitted to the Governing Board for its final approval and the adoption of necessary administrative measures.

PART VII
Of the Permanent Executive Secretariat

Article 43. The Permanent Executive Secretariat is the executive and coordinating body for UNAMAZ policies, approved by the Governing Board. Its organization and functions will be determined by the general internal regulations.

Article 44. The Executive Secretary is administratively subordinate to the President of the Governing Board.

Article 45. The Executive Secretariat, in accordance with the strategic areas established in the Strategic Plan and other UNAMAZ initiatives, proposes to the Governing Council the creation of academic-scientific Forums, with their specificities in their own internal regulations.

Article 46. The Governing Council, by resolution, designates the Secretary of the Permanent Executive Secretariat, in accordance with the General Regulations of UNAMAZ.

Article 47. The headquarters of the Permanent Executive Secretariat will be in a country in the Amazon region, selected according to meritocratic principles, duly justified. The nomination of Institutions from UNAMAZ Member Countries will be made as established in the General Internal Regulations.

Article 48. UNAMAZ must guarantee the financing of its Permanent Executive Secretariat.

PART VIII
Of the National UNAMAZs

Article 49. The National UNAMAZs are units of UNAMAZ in member countries and act as representatives, implementing the association's policies in their respective countries.

Article 50. A Vice-Presidency of the National UNAMAZ is headed by a Rector of a member university, based in the Amazon region, assuming the position of Vice-President, elected from among their fellow members by direct and universal vote, with a two-year term, and may be re-elected for the following period.

Article 51. Each National UNAMAZ will elect two Rector representatives to the Governing Council. When, for any reason, the incumbent National Vice-President loses their position as Rector, their alternate will assume the National Vice-Presidency.

Article 52. The National Vice-President is the legal representative of UNAMAZ before their country, and their institutional actions are conducted under the national legislation of each country.

Article 53. The National UNAMAZ is composed of a minimum structure, consisting of the National Amazonian Council, integrated by the UNAMAZ members of the country, presided over by its Vice-President, a National Secretariat, and a Technical Cooperation Office or equivalent, linked to the University where the Vice-Presidency is located. Its functions and activities will be described in the internal regulations.

CHAPTER IV
On Assets and Dissolution

Article 54. The association's assets shall consist of any initial donations from members and any movable and immovable property and rights that may be added through donations from individuals, private legal entities, and public legal entities; provision of services; application of revenues and other sources; agreements, support, and financing, provided that they are not incompatible with the free development of the association's activities.

Article 55. The association shall not distribute any operational surpluses, gross or net, dividends, bonuses, shares, or portions of its assets, obtained through the exercise of its activities, among its members, associates, advisors, directors, employees, or donors, and shall apply them entirely to the achievement of its social objective.

Article 56. All assets and revenues of the association shall be allocated to the objectives for which the entity is intended, except for expenses incurred and assets necessary for its operation.

Article 57. The alienation, mortgage, pledge, sale, or exchange of the association's assets may only be decided by approval of an absolute majority of the Extraordinary General Assembly, specifically convened for this purpose.

Article 58. The association may be dissolved by resolution of the members at any time, provided that an Extraordinary General Assembly is convened for this purpose, which must observe the rules set forth in these bylaws. It may also be dissolved by other means provided for by law.

Article 59. In the event of the entity's dissolution, the remainder of its net assets will be transferred to another non-profit legal entity, preferably with the same social purpose.

CHAPTER V
Mission, Vision for the Future, Strategic Areas, Objectives and Actions

Article 60 UNAMAZ's Mission is: “to promote academic integration and cooperation to strengthen, as a public good, higher education, scientific research and social integration for the sustainable human development of the Pan-Amazon region, with social and environmental relevance”.

Article 61 UNAMAZ's Vision is “to be a network of cooperation among academic and scientific institutions, a world, regional and local leader in integration and articulation for the training of human resources and research in the Amazon, with social and environmental relevance”.

Article 62 The strategic areas of UNAMAZ are:

a) institutional and organizational development;

b) higher education, science and technology;

c) regional integration and well-being;

d) others that may be defined.

Article 63. The strategic objectives of UNAMAZ are:

a) to coordinate the permanent operation of member institutions of higher education and research in the Amazon;

b) to promote, through its member institutions, the training of human resources and higher education to contribute to the development of the Amazon;

c) to promote, through its universities and member institutions, research, science, technology and culture in service of the Amazon;

d) to promote, through its universities, scientific, artistic and technological knowledge, as well as to preserve the values ​​and knowledge originating in the Amazon.

Article 64. The strategic actions of UNAMAZ will be carried out in accordance with the current Strategic Plan.

CHAPTER VI
Of the Fiscal Year

Article 65. The fiscal year will last one year, beginning on February 1st and ending on January 31st of the following year.

Article 66 At the end of each fiscal year, the Board of Directors shall prepare, based on the association's accounting records, a balance sheet and a statement of income, as well as a breakdown of the sources and uses of funds.

Article 67 UNAMAZ, regardless of whether or not it enters into a Partnership Agreement with the public authorities, shall observe the fundamental principles of accounting and accounting standards in the preparation of its accounting and financial statements.

SOLE PARAGRAPH: There shall be an accounting of any resources received from public authorities.

Article 68 At the end of each fiscal year, UNAMAZ shall publicize, by any effective means, the activity report and the accounting and financial statements.

CHAPTER VII
On the Non-Existence of Joint and Several Liability

Article 69 - Associate members shall not be jointly and severally liable, nor even subsidiarily liable, for the debts of UNAMAZ, nor shall they have any rights in the event of withdrawal or exclusion, and shall not receive remuneration or fees for services or work performed.

 

CHAPTER VIII
Internal Regulations

Article 70 - UNAMAZ will adopt Internal Regulations (IR), approved in General Assembly, subject to amendment at any time, that do not conflict with this statute, adapted to Civil Law, which will establish the rules of procedure for the administration of any territorial administrative unit, and may incorporate additional provisions intended for the management of this association.

CHAPTER IX
On the Amendment of the Statute

Article 71 The total or partial amendment of this statute will be carried out by:

I. express convocation for this purpose;

II. proposal signed by all members of the Board of Directors;

III. request formulated by at least five full members.

§1 In the above cases, the request will only be approved by at least 2/3 (two-thirds) of the members of the General Assembly.

Section 2. The reform proposal formulated by the General Assembly must comply with the same rules provided for in the SOLE PARAGRAPH of Article 27 of these bylaws.

CHAPTER X
Of Bylaw Amendments

Article 72 – Regarding the name and headquarters of UNAMAZ, the bylaws may be amended in an Assembly, provided there is a quorum, by the favorable vote of at least two-thirds of the associate members present and voting.

Paragraph 1 – The proposed amendments will be communicated to the associate members by mail or electronically, at least 10 (ten) days prior to the date of the Assembly.

Paragraph 2 – The amendments approved by the General Assembly will be forwarded to the Board of Directors for implementation.

CHAPTER XI
Transitional Provisions

Article 73. At the VIII Assembly, once this statute is approved, each national delegation will elect the Vice-President and their alternate; the elected members will immediately constitute the Governing Council; the President of UNAMAZ will be elected according to the call made under the previous statute, will preside over the Governing Council, will have a two-year term and may be re-elected as established in the current statute.

Article 74. The Governing Council will appoint an Executive Secretary Pro Tempore who, under the responsibility of the President of UNAMAZ, will be responsible for the effective transition to the new organizational structure of this Statute and the Strategic Plan.

Article 75. The Governing Council will approve the General Internal Regulations of UNAMAZ and its operational bodies within a period of 180 (one hundred and eighty) days.

Article 76. Positions and functions not provided for in these Statutes shall be considered abolished, except for the Institutional Headquarters of UNAMAZ, whose role will be defined in UNAMAZ's internal regulations.

CHAPTER XII
Final Provisions

Article 77. These Statutes shall enter into force upon their approval.

Article 78. All matters not addressed in these Statutes shall be resolved by the Governing Council.

Article 79. The National Vice-Presidencies of UNAMAZ shall submit their respective internal regulations to the Governing Council for approval within 180 days from the date of approval of these Statutes.

Article 80. All official documents shall be published in Spanish, Portuguese, and English, which are the languages ​​of the countries in which UNAMAZ has members. Members from Suriname, a Dutch-speaking country, opt for English for practical reasons.

Article 81. Any omissions will be resolved by the Governing Council and ratified by the General Assembly.

Article 82. The associate members of UNAMAZ may not, under any circumstances, be held liable for obligations contracted by the Governing Council.

Article 83. The employment regime of those who provide services to UNAMAZ, under registration in a Work Card, will be that of the current Labor Legislation. In the case of contracted services, it will be established according to the nature of the service.

Article 84. This Statute enters into force on the date of its approval by the General Assembly.

Article 85. This Statute revokes the previous one, approved on January 18, 1988, registered in the Registry Office of Legal Entities of the city of Belém, state of Pará, Brazil.

Article 86. The jurisdiction of the City of Belém – Capital of Pará – is chosen to resolve any doubts that may arise.
